End-User License Agreement (EULA)

IMPORTANT – READ CAREFULLY 
This End-User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“You,” “Customer,” or “Licensee”) and QuantumQuad Solutions LLP (“Company,” “We,” “Us,” or “Our”) regarding your acquisition, access, and use of our software add-ons (“Software”) for Microsoft Dynamics 365 Business Central.

 

By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. Definitions​​​​

  1.1 Software: The application(s), modules, add-ons, integrations, components, updates, and documentation provided by QuantumQuad. 
  1.2 Subscription: A time-based licensing model where usage rights are granted for recurring periods upon payment of applicable fees. 
  1.3 Perpetual License: A one-time purchase granting indefinite use of a specific Software version. 
  1.4 Authorized Users: Your employees, contractors, or agents permitted to access and use the Software under your account.

2. License Grant 

  2.1 General License: Subject to full compliance with this Agreement, QuantumQuad grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software solely for your internal business purposes. 

  2.2 Subscription Licenses: Access to the Software under a Subscription is valid only for the duration of the paid subscription. Use after expiration or termination is prohibited. 

  2.3 Perpetual Licenses: A Perpetual License grants the right to use the specific Software version indefinitely, subject to compliance with this Agreement.

3. Restrictions 

You shall not: 

  • Copy, modify, translate, reverse engineer, decompile, disassemble, or create derivative works from the Software; 

  • Sell, lease, rent, sublicense, distribute, or transfer the Software to third parties; 

  • Use the Software for any purpose in violation of applicable laws or infringing third-party rights; 

  • Access the Software to build a competing product or service.

4. Subscription, Billing, and Trials 

  4.1 Billing: Subscription fees, renewals, and cancellations are governed by the Microsoft Marketplace billing system or as specified in your order. 

  4.2 Trials: Trial versions automatically expire at the end of the trial period. Converting to a paid subscription is required for continued access. 

  4.3 Non-Payment: Failure to pay applicable fees may result in suspension or termination of access.

5. Updates, Enhancements, and Support 

QuantumQuad may provide updates, bug fixes, or enhancements at its discretion. Features may be modified or removed. Support terms, if any, are outlined in the Software documentation or as provided through the Microsoft Marketplace.

6. Data Processing and Privacy 

  6.1 Data Ownership: You retain all rights to your data; QuantumQuad acts solely as a data processor if it accesses your data to provide support or functionality. 

  6.2 Compliance: All data processing complies with applicable data protection laws, including GDPR for EU customers. A Data Processing Addendum (DPA) is available upon request. 

  6.3 Microsoft Disclaimer: Microsoft is not responsible for your data or the performance of the Software.

7. Third-Party Services 

The Software may integrate with third-party services. QuantumQuad is not responsible for the availability, performance, or data practices of such third parties. 

 

8. Intellectual Property 

All intellectual property rights in the Software, including but not limited to code, design, logos, and documentation, are owned by QuantumQuad or its licensors. Nothing in this Agreement transfers ownership or grants rights beyond the limited license stated herein.

9. Term and Termination 

  9.1 Term: Effective upon first installation or use and continues until terminated. 
  9.2 Termination for Cause: QuantumQuad may terminate this Agreement if you breach any term. Upon termination, you must immediately cease use and delete all copies of the Software. 
  9.3 Survival: Sections 6, 8, 10, 11, and 12 survive termination.

10. Warranty Disclaimer 

The Software is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. QuantumQuad disclaims all express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability 

To the maximum extent permitted by law, QuantumQuad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising from your use or inability to use the Software. 

​

12. Indemnification 

You agree to indemnify and hold harmless QuantumQuad and its affiliates from any claims, losses, damages, liabilities, costs, and expenses arising from your use, misuse, or unauthorized distribution of the Software. 

​

13. Governing Law and Jurisdiction 

This Agreement is governed by the laws of India, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of courts located in Ahmedabad, India.

14. Amendments 

QuantumQuad may modify this Agreement at any time. Updated terms will be posted in the Microsoft Marketplace listing or on our official website. Continued use constitutes acceptance of the revised terms.
